BLOCKCHAIN

Smart contracts and blockchain: real legal implications

A smart contract is code that automatically executes the terms of an agreement when verifiable conditions are met. On a blockchain, that execution is immutable and auditable by any party.

Are they legally valid?

In most jurisdictions a smart contract can be the execution of a valid agreement when the classic elements concur: consent, subject matter and lawful cause. The practical challenges are interpretation (code does not capture nuance), identification of the parties and applicable law on decentralized networks.

Use cases that make legal sense

  • Conditional payments: automatic release of funds when verifiable milestones are met.
  • Asset tokenization: digital representation of rights with programmed transfer rules.
  • Digital evidence: timestamping and document integrity with evidentiary value.
  • Supply chains: contractual traceability across multiple actors.

What a lawyer should review

  1. Exact correspondence between the natural-language agreement and the code.
  2. Dispute-resolution mechanisms and error-correction paths.
  3. Reliability of the oracles feeding external data into the contract.
  4. Regulatory compliance: data protection, financial and consumer rules.

Blockchain applied to law demands teams fluent in both languages. In my solutions I bring legal design and technical implementation together. Got a project in mind? Let’s talk.
